2.1 Decisive Zone Brokerage LLC is a UAE-licensed and regulated corporate service provider offering business setup, corporate structuring, and related consulting services in compliance with applicable UAE regulations.
3. Eligibility and Client Onboarding
3.1 You confirm that you are at least 18 years old and possess full legal capacity to enter into these Terms.
3.2 You agree to provide accurate, current, and complete information during the account creation and onboarding process and to promptly update such information as necessary.
3.3 We reserve the right to conduct identity verification and due diligence checks, including Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures, as per UAE law.
4. Services
4.1 Our services may include but are not limited to:
- Business incorporation and registration
- PRO and visa processing
- Corporate bank account opening assistance
- Regulatory compliance consulting
- Business licensing and approvals
- Nominee and document clearing services
4.2 We do not offer financial trading, investments, or securities advice of any kind.
5. Fees and Payment
5.1 Fees for our services will be detailed in a service proposal or invoice shared with you before engagement.
5.2 Payments must be made in the manner and timeline specified. Late payments may incur additional charges or suspension of services.
5.3 All amounts quoted are exclusive of VAT, which shall be added where applicable under UAE tax law.
6. Client Responsibilities
6.1 You agree to:
- Provide truthful and complete documentation.
- Refrain from engaging in illegal or unethical practices.
- Cooperate fully with DZB during application or service processes.
6.2 You are solely responsible for any legal or regulatory consequences resulting from inaccurate, misleading, or incomplete information you provide.
7. Confidentiality
7.1 We will maintain strict confidentiality of your data and documents, except as required by law or regulatory authorities.
7.2 You agree not to disclose any non-public information obtained from us, including proprietary methodologies, pricing, or internal communications.
8. Intellectual Property
8.1 All content, branding, documents, and tools used or created by DZB are protected by intellectual property laws and remain our property.
8.2 You may not copy, reproduce, distribute, or use any of our intellectual property without express written consent.
9. Limitation of Liability
9.1 We will not be liable for any indirect, incidental, or consequential damages arising from your use of our services.
9.2 Our maximum liability in relation to any claim will not exceed the total fees paid by you for the specific service in dispute.
Indemnity
You agree to indemnify and hold DZB harmless from any claims, liabilities, losses, damages, or expenses arising from your breach of these Terms, misuse of our services, or violation of any law or rights of third parties.
10. Termination
11.1 Either party may terminate services upon written notice.
11.2 DZB may suspend or terminate your access immediately without notice if:
- You breach any provision of these Terms;
- You engage in conduct deemed unlawful or harmful to DZB or its clients.
12. Amendments
12.1 We may amend these Terms at any time. We will publish the updated version on our website, and the changes shall be deemed accepted upon continued use of our services.
12.2 If you do not agree to the amendments, you should discontinue use and notify us in writing.
13. Force Majeure
We will not be liable for any delay or failure to perform our obligations if such delay or failure is due to causes beyond our reasonable control including, but not limited to, acts of God, governmental actions, labor disputes, or internet disruptions.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
15. Severability
If any provision of these Terms is held to be invalid, the remaining provisions shall remain in full force and effect.
16. Non-Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.
17. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights or obligations to a third party without your consent.
